This seminar intends to present the students with the major legal issues in the field of international commercial law, with a specific focus on international commercial contracts. Transactions across borders pose a series of unique problems that require a knowledge of legal mechanisms going beyond the national legal system. Starting from the very definition of what a "contract" is, this seminar will present and discuss issues such as the applicable law; jurisdiction; international conventions on contracts; soft law instruments of harmonization.

This seminar aims to provide students with the basic "toolbox" to face international commercial contracts. Students will learn how to approach international (whether bi-national or multi-national) negotiations and contract-drafting. The seminar will include practical exercises (such as contract drafting) to help students learn skills useful for their future professional life
