到達目標 【英語】 Objectives of the Course | | Students will gain knowledge on global business operations through examining the course will examine the issues arising in the following areas of law: Corporate Organization, Governance and Compliance; International Business Combinations; Labor and Employment; Data Privacy and Cybersecurity; and Contract Drafting and Negotiation. |

授業の内容や構成 Course Content / Plan | | In general, each of the above-referenced legal topics shall be addressed for one (1) day of the course although, depending on student interest and class participation, we may spend more than one day on a legal topic. The course will be conducted in a modified Socratic format consisting of lectures and class discussion regarding assigned readings and class problems. Class sessions devoted to particular topics may also involve student presentations on the legal regimes of their home countries. In addition, we will conduct a short contract negotiation exercise in the final session.
1. (Sessions 1-3) Corporate Organization, Governance and Compliance: We will concentrate on the structure of corporate entities in various countries and the fiduciary duties of principal corporate constituents. In addition, we will examine the financial and legal compliance obligations imposed on corporate entities in various jurisdictions and the methodologies for meeting these obligations.
2. (Sessions 4-6) International Business Combinations: We will discuss the mechanics of various types of international business combinations including mergers and acquisitions and joint ventures. We will also analyze the notification and approval requirement associated with these combinations in various jurisdictions including those associated with antitrust law, national security law and foreign investment limitations.
3. (Sessions 7-9) Labor and Employment: We will examine the legal structure of the employment relationship in various jurisdictions and the impact of these legal structures on the hiring, treatment, retention and dismissal of employees and contractors.
4. (Sessions 10-12) Data Privacy and Cybersecurity: We will examine the various standards and regulations associated with the collection, storage and processing of various types of data used in connection with global operations including financial data, payment data and personally identifiable data of customers and employees. As part of this discussion, we will explore the benefits and dangers of cloud-based storage and processing and the various cybersecurity standards and obligations these business practices implicate.
5. (Sessions 13-15) Contract Drafting and Negotiation: We will discuss the purpose and nature of contractual agreements in various jurisdictions and the enforceability of various contractual terms. In particular, we will examine the enforceability of oral agreements, the importance of customary law and duties and representations that may be implied by statute. We will also examine how differences in contract law may influence the nature and content of international contract negotiations. |

成績評価の方法と基準 Course Evaluation Method and Criteria | | 50% - class participation 50% - student paper Credit is given to C- or C (where applicable) or higher grade for each criterion. |

教科書・参考書 Textbook/Reference Book | | There is no specific textbook that will be used in connection with the class, although there will be substantial readings provided by the instructor consisting of excerpts from textbooks, periodicals, cases and statutes as well as instructor-generated class problems. |

課外学習等(授業時間外学習の指示) Study Load(Self-directed Learning Outside Course Hours) | | For each class session, students are expected to: (a) have read all the assigned reading material and (b) be prepared to proactively discuss through active participation in class discussions.
Each student will be expected to write a paper of 2,500-3,500 words (excluding footnotes/citations) on a topic of their choosing relevant to the course content. |
